Terms of Service

1. Acceptance of Terms

By accessing or using TextGoAI (the "Service"), you ("Customer," "you," or "your") agree to these Terms on behalf of yourself and any business entity you represent. You represent that you have the authority to bind that entity to these Terms. If you are using the Service on behalf of a business, "you" refers to that business.

2. Description of Service

TextGoAI provides a text message automation platform for small home service businesses. The Service includes:

• Missed call text-back — automated SMS sent to callers when a call is unanswered
• Appointment reminders — scheduled SMS reminders sent to customers before a job
• Post-service review requests — automated SMS asking customers for a Google review
• Additional features as described in your chosen subscription plan

TextGoAI reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account & Access

Registration

You must provide accurate, current, and complete information when creating your account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

Eligibility

You must be at least 18 years old and operate a legitimate business to use the Service. The Service is currently available to businesses operating in New Jersey only.

One Account Per Business

Each business may maintain one active account. You may not create duplicate accounts or share accounts across unrelated businesses.

4. Acceptable Use

You agree to use TextGoAI only for lawful purposes and in accordance with these Terms. You may not use the Service to:

• Send spam, unsolicited messages, or messages to contacts who have not consented
• Harass, threaten, or deceive any individual
• Transmit content that is illegal, defamatory, obscene, or fraudulent
• Violate any applicable law, including the TCPA, CAN-SPAM Act, or FCC regulations
• Attempt to reverse-engineer, hack, or disrupt the platform or its infrastructure
• Resell or sublicense the Service to third parties without written permission

TextGoAI reserves the right to suspend or terminate any account found to be in violation of this section without prior notice.

5. SMS & TCPA Compliance

You are solely responsible for ensuring your use of the SMS features complies with all applicable laws, including the Telephone Consumer Protection Act (TCPA).

• You must obtain prior express written consent from each customer before adding their phone number to the platform for automated messaging
• You must honor all opt-out requests immediately; TextGoAI will process STOP replies automatically
• You may not use the Service to contact numbers on the National Do Not Call Registry without proper consent
• You agree to indemnify TextGoAI against any claims, fines, or penalties arising from your failure to comply with TCPA or other messaging laws

6. Billing & Payments

Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis depending on your chosen plan. All fees are in USD and do not include applicable sales tax. Any sales tax required by law will be calculated and added to your invoice at the time of billing based on your billing address.

Overage Charges

If you exceed your plan's included text message allotment, overage charges of $10 per 100 additional texts will be billed at the end of your billing period. We will notify you before you reach your limit.

Payment Processing

Payments are processed by Stripe. By providing payment information, you authorize TextGoAI to charge your payment method on a recurring basis for the applicable subscription fee and any overages.

Price Changes

TextGoAI may change subscription pricing with at least 30 days' notice. Price changes take effect at your next billing cycle. Continued use after the effective date constitutes acceptance.

Refunds

All fees are non-refundable except as required by applicable law. If you cancel mid-period, your access continues until the end of the paid period — no partial refunds are issued.

7. Free Trial

New customers receive a 14-day free trial with no credit card required. At the end of the trial, you must enter payment information to continue using the Service. We will not automatically charge you at the end of a free trial — you choose to subscribe.

TextGoAI reserves the right to modify or terminate the free trial offering at any time.

8. Cancellation & Termination

By You

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. No partial refunds are issued.

We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will make reasonable efforts to notify you unless doing so would be harmful or legally prohibited.

Effect of Termination

Upon termination, your access to the Service will cease. You may request an export of your data within 30 days of termination. After 30 days, your data may be permanently deleted.

9. Intellectual Property

TextGoAI and its platform, software, branding, and content are owned by TextGoAI and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

You retain ownership of all data, message content, and customer information you input into the platform. You grant TextGoAI a limited license to process this data solely to provide the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TEXTGOAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

We do not guarantee that automated messages will result in any specific business outcome, revenue, or review volume.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXTGOAI AND ITS FOUNDERS, OFFICERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL TEXTGOAI'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO TEXTGOAI IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless TextGoAI and its founders from and against any claims, damages, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law, including TCPA
• Any claim by a third party related to messages sent through your account

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising out of these Terms shall be resolved exclusively in the state or federal courts located in Camden County, New Jersey, and you consent to personal jurisdiction in those courts.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. The "Last Updated" date at the top of this page reflects the most recent revision.
